1. Acceptance and Eligibility
By accessing or using Vibe Align’s products, services, or platforms, you agree to these Terms of Service (“Terms”), as well as the Privacy Policy. You must be at least 18 and authorized to bind your organization if purchasing for a business.
2. Service Overview & Definitions
“Service” refers to Vibe Align custom GPTs, AI-powered chatbots, and digital tools.
“Software” refers to all prompts, configurations, code, and knowledgebase modules powering these tools.
“Content” means materials uploaded or submitted by users.
“Outputs” are results generated by the Service from user Content.
“Third-Party Platforms” are hosting services (ChatGPT, Gemini, Formwise) required for tool delivery.
3. Licensing & Access
Access is licensed, not sold, and is non-transferable, revocable, and subject to compliance.
User must maintain an active third-party platform account to use the Service.
Vibe Align reserves the right to suspend, revoke, or limit access for violation, non-payment, or other good cause.
4. User Rights & Obligations
Users retain copyright in their uploaded Content.
Vibe Align retains IP in tool configuration, knowledgebase, and prompt engineering. No reverse engineering or reselling is allowed.
Users must comply with legal, ethical, and platform-specific conduct rules.
Submission of PHI/HIPAA or sensitive clinical data is prohibited unless expressly agreed in writing.
5. Third-Party Platform Disclaimers
Service availability relies on third-party platforms. Vibe Align is not responsible for interruptions, feature changes, or outages caused by those parties.
Users must comply with the terms, privacy, and acceptable use policies of OpenAI, Google, and any applicable hosts.
6. “AS-IS” / No Advice Disclaimer
Service is provided “AS IS” and “AS AVAILABLE.” No warranty as to accuracy, reliability, or suitability.
Outputs do not constitute clinical, legal, medical, or professional advice. All advice must be independently evaluated and confirmed with licensed professionals.
Vibe Align disclaims responsibility for decisions made based on, or harm arising from, any AI-generated output.
7. Limitation of Liability & Indemnification
Maximum aggregate liability is limited to fees paid by you in the preceding 12 months.
No liability for indirect, incidental, punitive, special, or consequential damages.
You agree to defend, indemnify, and hold harmless Vibe Align and its affiliates from any claim, loss, or expense resulting from misuse, violation, or breach of these Terms or any law.
8. Modification, Suspension, & Termination
Vibe Align may update, suspend, or discontinue Service or Terms with notice.
Some provisions (IP, disclaimers, limitations) survive termination.
You may cancel at any time; access ends at the close of the paid billing period.
9. Jurisdiction & Dispute Resolution
These Terms are governed by the laws of Minnesota. Disputes will be adjudicated exclusively in courts located in Hastings, Minnesota.
